Welcome to Lord & Taylor! These Terms of Service (“Terms”) govern your access to, and use of services provided by Regal LT Online LLC (“Lord & Taylor,” “we,” “us,” or “our”) through our website, mobile app, and related platforms (collectively, the “Site”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1.1 Acceptance

2. OUR RELATIONSHIP – WHO DOES WHAT

2.1 Lord & Taylor as Merchant of Record

Lord & Taylor, operated by Regal LT Online LLC, is the merchant of record for all transactions made through the Site and all affiliated channels. This means:

Seller of Record: Your direct contractual relationship is with Lord & Taylor for all purchases, returns, and exchanges.

Customer Service: All customer service, returns, and refund inquiries are handled by Lord & Taylor, not by vendors or suppliers.

Platform Provider: Lord & Taylor’s ecommerce platform is powered by Shopify, which provides the technical infrastructure, secure checkout functionality, and payment processing, but does not interact directly with customers.

Some items may ship directly from authorized third-party partners (vetted vendors).

2.2 The Shopify Platform Partnership

Our Site is hosted on Shopify Inc. (“Shopify”), which provides us with the online e-commerce infrastructure that enables us to sell our products and services. Shopify will process your order requests and payments and provides secure data storage. By submitting your order, you agree to Shopify processing your order.

Your data is stored through Shopify’s data storage, databases, and the general Shopify application. Your data will be stored on a secure server behind a firewall. If you make a payment through our Site, your credit/debit card information will be stored by Shopify. By continuing, you acknowledge and accept each and all of Shopify’s Terms, Privacy Policy, and Data Processing Addendum.

Credit card information is encrypted through the Payment Card Industry Data Security Standard (PCI-DSS). Your purchase transaction data is stored only as long as necessary to complete your purchase, after which it is deleted. Full payment is due upon order placement, and you will be charged when you complete the checkout process.

3. ACCOUNT REGISTRATION AND SECURITY

Certain features of our website may require you to register for an account.

Registered Account: Full features and order history

Business Account: Additional capabilities for corporate customers

3.5 Account Suspension

We may suspend accounts for:

Unusual activity indicating compromise

Terms violations

Suspected fraud

4. USE OF SERVICES

4.1 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use our Services for legitimate shopping purposes.

We reserve the right to modify pricing, availability, or specifications of any product without prior notice. Any such changes will not affect orders already accepted.

11. THIRD-PARTY SERVICES

Certain features (payments, fulfillment, analytics, marketing) are powered by trusted third-party providers, including Shopify, Klaviyo, payment gateways, and approved vendors. Each has its own privacy and service terms, which may apply to your transaction.

When orders are shipped by vendor partners, your name, shipping address, phone, and order details may be shared solely for fulfillment. Vendors are obligated to use this information only for order processing and to protect it consistent with applicable privacy laws and our requirements.

12. DISCLAIMERS AND LIMITATIONS

12.1 "As Is" Service

The website and all products and services are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement. No advice or information obtained by you from us or through the Site shall create any warranty not expressly stated herein.

12.2 Liability Limits

Our liability is limited to the greater of $100 or your last transaction amount.

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Site; (b) any unauthorized access to or use of our servers or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Site.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless us and our affiliates, subsidiaries, partners, agents, and employees from any claim or demand, including reasonable attorneys’ fees, arising out of your breach of these Terms or your violation of any law or third-party rights.

Specifically, you agree to defend and hold harmless Lord & Taylor from claims arising from:

Submission of false or unlawful User Content; and

Unauthorized access to your account or Personal Data.

Examples: You agree to indemnify us for any liability resulting from your posting of defamatory reviews, your use of the Site for fraudulent purposes, or your breach of your data confidentiality obligations under these Terms.

14. DISPUTE RESOLUTION, ARBITRATION, AND GOVERNING LAW

These Terms of Service, including all Disputes arising out of or relating to your use of the Site or any Services provided, shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any arbitration, litigation, or other dispute resolution proceeding relating to these Terms shall be conducted in accordance with New York law, except where federal law may preempt or apply.

14.1 Binding Arbitration

Individual Dispute Resolution: All Disputes arising out of or related to your use of the Services must be resolved through binding, individual arbitration, not in court or as part of a class action or representative proceeding.

Initiation of Arbitration: If you have a Dispute, you must first provide written notice (legal notice) to us, clearly stating the nature of the Dispute, your claims, and the relief sought. This triggers a mandatory informal settlement process—a period (typically 30–90 days) in which both parties attempt to resolve the matter without arbitration.

Filing an Arbitration Demand: If not resolved informally, either party may file a demand for arbitration with the American Arbitration Association (AAA). The claim should describe the Dispute, parties, and desired outcome.

Jurisdiction and Rules: The arbitration will be conducted according to the AAA Consumer Arbitration Rules in the State of New York. If arbitration is not enforceable, exclusive venue is New York, NY.

Consumer Rights in Arbitration:

Right to an Impartial Arbitrator: The Arbitration shall be conducted by a single arbitrator. Both parties will participate in selecting a neutral arbitrator.

Access to Evidence: You can request documents and information reasonably necessary to present your case.

Fair Hearing: The arbitrator is empowered to offer all remedies a court could provide, including monetary and injunctive relief.

Cost Protections: Arbitration fees may be capped or reduced for consumers.

Opt-Out: You may opt out of arbitration within 30 days of accepting the Terms by emailing look@lordandtaylor.com with subject line “Arbitration Opt-Out.”

Waiver of Class Actions and Jury Trials: You waive rights to class or collective actions and to a jury trial. All actions must be brought individually.

Severability. If any part of this Arbitration Agreement is found to be invalid, unenforceable, or illegal, then the remaining provisions shall remain in effect and be construed in accordance with their terms as if the invalid provision were not included.

15. TERMINATION

We reserve the right to suspend or terminate your account and access to the Site at our sole discretion, without notice, for conduct that we believe violates these Terms or is otherwise harmful to our interests. We are not liable for any resulting damages.

16. GENERAL PROVISIONS

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable supplemental policies, represent the complete and exclusive agreement between you and Lord & Taylor regarding your use of the Services and supersede any prior agreements or representations.

16.2 Severability and Force Majeure

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the rest of the Terms remain enforceable. Lord & Taylor is not responsible for delays or failures in performance resulting from causes beyond its reasonable control (force majeure), such as natural disasters, supply chain disruptions, or internet outages.
